This Terms of Use agreement is effective as of January 13th, 2008 and last updated January 13th, 2008.

The following Terms of Use outline your obligations when using the Omnilocus website.

The Omnilocus website (collectively, "Omnilocus", "the Site", or "the Service") is operated by Omnilocus, LLC (collectively, "Omnilocus", "us" or "we"). By accessing or using our website at www.omnilocus.com, you (the "User") signify that you have read, understand and agree to be bound by these Terms of Use ("Terms of Use" or "Agreement"), whether or not you have an Omnilocus Account (collectively, "Omnilocus Account" or "Membership").

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SITE OR SERVICES. BY ACCESSING THIS SITE OR USING ANY PART OF THE SITE OR ANY CONTENT OR SERVICES ON THE SITE, YOU AGREE TO BECOME BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS, THEN YOU MAY NOT ACCESS THE SITE OR USE THE CONTENT OR ANY SERVICES IN THE SITE. THE SERVICE, CONTENT, AND SITE ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Your Membership Responsibilities
By Joining Omnilocus (requesting Membership), you agree not to create a username that is offensive, vulgar or obscene. Omnilocus reserves the right to refuse registration of, or cancel an Omnilocus Account at its discretion. You shall be responsible for maintaining the confidentiality of your Omnilocus Account password.

As a condition of use, you agree not to use the Site or Service for any purpose that is unlawful or prohibited by these Terms of Use, or any other purpose not reasonably intended by Omnilocus.

By way of example, and not as a limitation, you agree not to use the Site or Service:

  1. to abuse, harass, threaten, impersonate or intimidate any person or entity or falsely misrepresent yourself, your age, or other personal characteristics;
  2. to upload, post, transmit, or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable;
  3. for any illegal or unauthorized purpose (including but not limited to copyright laws). International users agree to comply with all local laws regarding online conduct and acceptable content;
  4. to upload, post, transmit, or otherwise make available any communication or solicitation in an attempt to obtain an account password or other personal information from any Omnilocus user;
  5. to upload, post, transmit, or otherwise make available any off-topic content, unauthorized or unwarranted advertising, solicitations, promotional materials, "spam," or any other form of solicitation;
  6. You agree not to take any action that could damage, disable, overburden or impair the Site; or bypass any measures we use to restrict access to certain parts of the Site;
  7. to register an Omnilocus Account on behalf of an individual other than yourself, or register an Omnilocus Account on behalf of any group or entity;
  8. if you are under the age of 13.

You are solely responsible for your activities on our Site, including all Content that you submit, post, transmit, or otherwise make available. Although we provide rules for User conduct and postings, we do not control and are not responsible for any User actions and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User or User Content.

When you upload, post, transmit, or otherwise make available any Content to the Site, you authorize and direct us to make such copies thereof as we deem necessary in order to facilitate the posting and storage of the User Content on the Site. By posting User Content to any part of the Site, you automatically grant, and you represent and warrant that you have the right to grant, to Omnilocus a non-exclusive, transferable, fully paid, worldwide license to use, copy, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such Content for any purpose, commercial, advertising, or otherwise, on or in connection with the Site or the promotion thereof. You may remove your contributed Content from the Site at any time. If you choose to remove your Content, the license granted above will automatically expire, however you acknowledge that Omnilocus may retain archived copies of your Content.

By uploading, posting, transmitting, or otherwise making available any Content for display or inclusion on the Site, you represent and warrant that you own all rights to the Content.

Copyright Policy
Omnilocus respects the intellectual property of others. When we receive proper notification, Omnilocus will promptly process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. Upon receipt of notices complying or substantially complying with the DMCA, Omnilocus may delete or block access to the alleged infringing activity or material. For repeat infringers, we will terminate their Membership and or block their access to the Site.

To notify Omnilocus of an infringement, you must provide a written communication to abuse@omnilocus.com that sets forth the information specified by the DMCA. Please note that you will be liable for damages (including costs and attorneys' fees) if you materially misrepresent that an activity is infringing your copyright.

Miscellaneous
The Site may provide, or third parties may provide, links to other websites or resources. Since Omnilocus has no control over such sites and resources, you acknowledge and agree that Omnilocus is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources.

Omnilocus is not affiliated with any location, business, organization, or any other group or individual of which Information and or Photos or Videos have been posted to the site.

The Site may be temporarily unavailable from time to time for maintenance or other reasons. Omnilocus assumes no responsibility for any error, omission, or interruption of, User communications.

IN NO EVENT WILL OMNILOCUS, ITS EMPLOYEES OR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, FROM YOUR USE OF THE SITE OR THE SERVICE, ANY OF THE SITE CONTENT OR OTHER MATERIALS ON, ACCESSED THROUGH OR DOWNLOADED FROM THE SITE, EVEN IF OMNILOCUS IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ACKNOWLEDGE THAT, UNLESS OTHERWISE PERMITTED BY LAW, YOU SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM OMNILOCUS, REGARDLESS OF THE CAUSE OF ACTION.

Omnilocus may terminate, delete, suspend, or discontinue any Site Service, User Membership(s) or any Content or information that you have posted on the Site and block, restrict, or prevent future access to and use of the Site for any reason, or no reason, at any time in its sole discretion, without notice or liability.

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Oklahoma.

If any portion of this Agreement is found to be invalid or unenforceable, Omnilocus and the User agree that the remaining portions shall remain in effect.

We reserve the right to amend these Terms of Use at any time. Non-material changes and clarifications will take effect immediately and material changes will take effect within 30 days of their posting on this site. If we make changes, we will post them and indicate at the top of this page the Agreement's new effective date. If we make material changes to this policy we will post them and indicate an update date at the top of the page. What constitutes a "material change" will be determined at Omnilocus' sole discretion, in good faith and using common sense and reasonable judgment. Your use of the Site following such indication constitutes your acceptance of the terms and conditions of the Terms of Use as modified.
